BioFuelNet’s Governance Structure
BioFuelNet Canada is incorporated as a not‐for‐profit corporation under the Canada Not‐For‐Profit Corporations Act. The network is hosted by McGill University, which provides office space and other support for the administrative centre. The Network is administered by a Scientific Director, McGill’s Dr. Donald L. Smith, who is a voting member of the Board of Directors.
The Board of Directors is modeled on a traditional corporate board. The Scientific Director is the CEO and carries substantial influence over policy‐making, is a full partner with the board and has a relatively free hand in managing to achieve objectives established by the Board. The Board oversees and approves the appointment of all key administrative staff, approve annual reports, financial reports, and progress reports, as required by the Network of Centre of Excellence Secretariat (to whom the Board is accountable).
